These terms constitute a legally binding agreement between you and Cnplast (referred to as "Company," "we," "us," or "our"). If you do not agree with these terms, please do not use our services or products.

Cnplast is a professional plastic pallet manufacturer with over 25 years of manufacturing experience, headquartered in China. We specialize in providing high-quality, customizable plastic pallet solutions for brands, wholesalers, and distributors worldwide.

We manufacture and supply various types of plastic pallets including but not limited to:

• Heavy-duty industrial pallets
• Export and shipping pallets
• Hygienic pallets for food and pharmaceutical industries
• Custom-designed pallets with specific dimensions and features

All products are manufactured according to ISO 9001 standards and comply with international certifications including CE, REACH, ROHS, SGS, and FDA requirements.

4.1 Quotations: All prices are subject to written quotation and may vary based on specifications, quantity, customization requirements, and market conditions.

4.2 Order Confirmation: Orders are confirmed only upon receipt of signed purchase order and required deposit payment.

4.3 Payment Terms: Standard payment terms are 50% deposit upon order confirmation, with balance due before shipment.

4.4 Minimum Order Quantities: MOQ requirements apply and vary by product type. Custom products may have higher MOQ requirements.

5.1 Manufacturing Standards: All products are manufactured with precision ±0.1mm tolerance using automated injection molding processes and undergo 100% quality inspection.

5.2 Material Compliance: Raw materials comply with RoHS and REACH standards, meeting international strength and performance requirements.

5.3 Limited Warranty: We provide a 3-year warranty for all delivered products, covering manufacturing defects under normal use conditions from the date of delivery.

6.1 Delivery Terms: Delivery terms are specified in individual quotations and purchase orders. Standard terms are Ex-Works (EXW) from our manufacturing facility.

6.2 Lead Times: Production lead times vary based on product type, quantity, and customization requirements. Standard products typically require 7-15 days.

6.3 Risk Transfer: Risk of loss or damage passes to buyer upon delivery according to agreed Incoterms.

6.4 Inspection: Buyer must inspect goods upon receipt and notify us of any discrepancies within 7 days of delivery.

7.1 Company IP: All designs, molds, technical specifications, and manufacturing processes remain the exclusive property of Cnplast unless otherwise agreed in writing.

7.2 Customer IP: We respect customer intellectual property rights and will not reproduce customer-specific designs for third parties without written authorization.

7.3 Confidentiality: Both parties agree to maintain confidentiality of proprietary information shared during the business relationship.

8.1 Maximum Liability: Our total liability for any claim shall not exceed the value of the specific product order giving rise to the claim.

8.2 Excluded Damages: We shall not be liable for indirect, consequential, special, or punitive damages, including but not limited to lost profits, business interruption, or loss of data.

8.3 Force Majeure: We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, or supply chain disruptions.

9.1 Proper Use: Customers must use products according to specified load capacities and intended applications.

9.2 Compliance: Customers are responsible for ensuring products meet their local regulatory requirements and industry standards.

9.3 Information Accuracy: Customers must provide accurate specifications and requirements for custom orders.

9.4 Payment Obligations: Customers must adhere to agreed payment terms and schedules.

Either party may terminate ongoing business relationships with written notice. Existing orders and commitments remain binding unless mutually agreed otherwise.

We reserve the right to refuse service or cancel orders in cases of payment default, misrepresentation, or violation of these terms.

11.1 Governing Law: These terms are governed by the laws of the People's Republic of China.

11.2 Dispute Resolution: Disputes shall be resolved through good faith negotiation. If resolution cannot be reached, disputes shall be submitted to arbitration in accordance with applicable arbitration rules.

11.3 Jurisdiction: Courts in our jurisdiction shall have exclusive jurisdiction over any legal proceedings.

We reserve the right to modify these Terms of Use at any time. Updated terms will be posted on our website with the revision date. Continued use of our services after modifications constitutes acceptance of the updated terms.

For significant changes that may affect existing orders or agreements, we will provide reasonable advance notice to affected customers.
